FirstGroup takes over London Overground in a EUR 3.5 billion deal

Transport for London (TfL) has appointed FirstGroup as the preferred operator for the London Overground suburban network, in a contract estimated at around EUR 3.5 billion (GBP 3 billion). The award marks one of the most significant rail tenders in the UK in the last decade and will significantly expand the company’s London portfolio.

Eight-year contract with option to extend

The First Rail London subsidiary will take over the operation of London Overground from May 3, 2026, under an initial eight-year contract, with the possibility of a two-year extension at TfL’s discretion.

The contract model is a concession type, in which TfL retains full revenue risk and sets service levels. FirstGroup will be responsible for:

  • train operations,
  • station management,
  • operational performance and customer services,
  • expanding contactless ticketing options (ticketless travel).

The company will also provide a performance guarantee of EUR 35 million and a corporate guarantee of EUR 95 million, as required by TfL.

Increased services on the Mildmay and Windrush lines

The new contract includes plans for:

  • increased frequencies on the Mildmay and Windrush lines,
  • investments in passenger information systems,
  • improved station security,
  • additional staff training
  • and modernization of customer relations infrastructure.

Sustainability goals and emissions reduction

As a network operated entirely by electric trains, FirstGroup will work with TfL to reduce its carbon footprint, in line with the London authority’s goal of reducing 90% of Scope 1 and 2 emissions by 2030.

The company already operates bus, tram, and cable car (London Cable Car) services for TfL, and the takeover of Overground consolidates FirstGroup’s position as one of London’s most important transport partners.

A network of 160 kilometers and 113 stations

London Overground was launched in 2007 and connects the outskirts of the British capital. The network:

  • covers 100 miles (160 km),
  • includes 113 stations,
  • serves over 4 million passengers weekly.

RBC Capital Markets analysts consider the contract to be a “low-risk deal,” given that TfL assumes the traffic and revenue risks, which gives FirstGroup a potential financial advantage over the life of the concession.

FirstGroup is one of the UK’s leading rail operators, with over 25 years of experience in operating all types of passenger services – from regional and commuter trains to long-distance and night trains.

The group operates two government-contracted services, Avanti West Coast and Great Western Railway (GWR), as well as two open-access services, Hull Trains and Lumo.
